These Terms of Service ("Terms") govern your access to and use of BabaBuilds ERP. By using erp.bababuilds.com, you agree to these Terms.

1) Eligibility & Account Responsibilities

You must be legally capable of entering into binding agreements in your jurisdiction.

You are responsible for:

• Maintaining account and credential confidentiality
• Restricting unauthorized access to your workspace
• Ensuring the accuracy of data you enter into the platform

You must promptly notify us of any suspected unauthorized use.

2) Service Scope

BabaBuilds ERP provides software tools for invoicing, client management, expense tracking, financial workflows, and related analytics.

We may improve, modify, or discontinue features to maintain security, compliance, or product quality.

3) Acceptable Use

You agree not to:

• Use the service for unlawful activity
• Upload malicious code, malware, or harmful payloads
• Attempt to bypass authentication, authorization, or tenant boundaries
• Interfere with platform integrity, uptime, or security controls
• Reverse engineer or abuse APIs beyond documented/intended use

Violation may result in suspension or termination.

4) Customer Data & Ownership

You retain ownership of your business data submitted to the platform.

You grant us a limited license to process your data solely to:

• Operate and secure the service
• Provide support and maintenance
• Meet legal obligations

You are responsible for lawful collection and use of client/customer data you upload.

5) Billing, Plans & Upgrades

Paid features may require an active subscription. Plan features, limits, and billing intervals are disclosed in-product.

Unless prohibited by law or contract:

• Fees are non-refundable once billed
• You are responsible for applicable taxes
• Downgrades may reduce feature access at the next billing cycle

6) Availability & Support

We target high availability but do not guarantee uninterrupted service.

Scheduled maintenance, emergency patches, vendor outages, or force majeure events may affect uptime.

7) Security

We implement reasonable safeguards, but no system is perfectly secure.

You must:

• Use strong credentials and MFA where available
• Avoid sharing account access across unauthorized users
• Follow secure data handling practices

8) Third-Party Services

The platform may integrate with third-party providers (e.g., auth, payment, email, cloud infrastructure). Their terms and privacy policies may also apply.

We are not responsible for independent third-party service failures outside our direct control.

9) Intellectual Property

All software, branding, UI, and documentation content (except your submitted content) are owned by BabaBuilds and protected by law.

No license is granted except the limited right to use the service under these Terms.

10) Disclaimers

The service is provided on an "as is" and "as available" basis to the extent permitted by law.

BabaBuilds ERP is a productivity platform and does not constitute legal, tax, or financial advisory services. You are responsible for final compliance decisions.

11) Limitation of Liability

To the maximum extent permitted by law, BabaBuilds will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Aggregate liability for direct claims is limited to fees paid for the service in the period defined by applicable law or contract.

12) Indemnity

You agree to indemnify and hold harmless BabaBuilds from claims arising out of:

• Your misuse of the service
• Your violation of these Terms
• Your infringement of third-party rights

13) Suspension & Termination

We may suspend or terminate access for security risk, non-payment, legal necessity, or material breach.

Upon termination, your access ends; data retention/deletion follows our Privacy Policy and legal requirements.

14) Governing Law & Disputes

These Terms are governed by applicable law as defined in your executed commercial agreement (if any), or otherwise by the jurisdiction disclosed in your account onboarding documents.

Parties will first attempt good-faith resolution before formal proceedings.

15) Changes to Terms

We may revise these Terms. Updated versions will be posted with a new effective date.

Continued use after updates constitutes acceptance of revised Terms.
